(“TedLighting”, “we”, “us”, or “our”). By accessing our website or placing an order, you agree to these Terms in full. These Terms are governed by the laws of the People’s Republic of China, with specific provisions recognising applicable international trade law and regulations of our key markets including the Philippines, the United Arab Emirates, Saudi Arabia, and the European Union.

3. Use of This Website

3.1 Permitted Use

You may use our website for lawful business purposes, including browsing our product catalogue, submitting enquiries, and obtaining product information. You agree not to:

4.1 Product Information

4.2 Quotations

All quotations issued by TedLighting are:

  • Valid for 30 days from the date of issue unless otherwise stated in writing
  • Subject to availability and confirmation of order quantity
  • Based on current material costs, exchange rates, and logistics conditions — we reserve the right to revise pricing if material changes occur before order confirmation
  • Exclusive of any applicable taxes, duties, freight, insurance, and installation costs unless expressly stated

4.3 Pricing

All prices quoted are in USD (United States Dollars) unless otherwise agreed. TedLighting is a factory-direct manufacturer. Our quoted prices do not include import duties, local taxes (including VAT, GST, or equivalent), or customs clearance fees in the buyer’s country.

5. Orders and Contract Formation

A binding purchase contract is formed when:

  • The buyer submits a written purchase order (PO) referencing the agreed quotation, and
  • TedLighting issues a written order confirmation or proforma invoice

Email communications constitute written agreements under these Terms. We reserve the right to decline any order at our discretion, including where payment terms cannot be agreed or where order quantities fall below minimum order quantities (MOQs) as specified in our quotation.

6. Payment Terms

6.1 Standard Payment Terms

  • 30% deposit upon order confirmation
  • 70% balance payment prior to shipment, unless otherwise agreed in writing

For long-term or high-volume customers, alternative payment schedules may be agreed in writing.

6.2 Payment Methods

We accept international bank transfers (T/T), letters of credit (L/C) for orders above agreed thresholds, and other methods as agreed. All bank charges are to be borne by the buyer.

6.3 Late Payment

In the event of late payment, TedLighting reserves the right to:

  • Withhold shipment until payment is received
  • Charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is lower
  • Suspend or cancel future orders

7. Delivery and Shipping

7.1 Incoterms

Unless otherwise agreed, goods are sold on FOB (Free On Board) terms at Guangzhou/Shenzhen/Shanghai port, China. Risk of loss or damage passes to the buyer upon loading at the nominated port. Other Incoterms (CIF, EXW, DAP, etc.) can be arranged by agreement.

7.2 Delivery Lead Times

Standard lead times are 25–45 working days from receipt of deposit and confirmed specifications. Lead times are indicative only. TedLighting shall not be liable for delays caused by force majeure events, port congestion, shipping disruptions, or factors outside our reasonable control.

7.3 Title and Risk

Title in goods passes to the buyer upon full receipt of payment, regardless of when physical delivery occurs. Where goods are shipped before full payment is received, TedLighting retains title until full payment is made.

8. Inspection, Acceptance, and Returns

8.1 Quality Inspection

TedLighting conducts 100% quality testing before shipment. We can provide QC inspection reports and traceability documentation on request. Buyers are encouraged to arrange third-party pre-shipment inspections at their cost.

8.2 Acceptance

Goods are deemed accepted if no written notification of defects is received within 14 calendar days of delivery.

8.3 Returns and Defects

Where goods are found to be defective due to manufacturing faults, TedLighting will, at its election:

  • Provide replacement parts or products
  • Issue a credit note for the value of defective goods
  • Arrange repair or replacement at our cost

Returns must be pre-authorised in writing. Goods returned without authorisation will not be accepted. This warranty does not cover damage caused by improper installation, misuse, environmental factors beyond product specifications, or modifications by third parties.

9. Warranties

9.1 Product Warranty

TedLighting products are warranted against defects in materials and workmanship for a period of 3 to 5 years from the date of shipment, depending on the product line as specified in the relevant product documentation.

9.2 Exclusions

The warranty does not apply to:

  • Consumable components (batteries beyond normal cycle degradation, fuses, seals)
  • Damage caused by acts of God, lightning, flood, or extreme weather beyond product IP rating
  • Damage caused by improper installation, wiring, or operation outside rated specifications
  • Products that have been modified, repaired, or serviced by unauthorised parties

9.3 Limitation

To the maximum extent permitted by law, TedLighting’s liability under warranty is limited to the repair or replacement of defective goods or a refund of the purchase price of the defective goods. We do not warrant uninterrupted or error-free operation of products.

10. Intellectual Property

All intellectual property rights in TedLighting’s products, designs, branding, website content, and documentation remain the exclusive property of TedLighting or its licensors. This includes:

  • Registered and unregistered trademarks including the TedLighting name and logo
  • Patents and utility models registered in China and internationally
  • Product design registrations (including the German Red Dot Award-recognised design)
  • Technical documentation, drawings, and proprietary specifications

Nothing in these Terms grants the buyer any intellectual property rights. OEM/ODM arrangements are governed by separate written agreements.

11. Confidentiality

Each party agrees to keep confidential any proprietary technical or commercial information disclosed by the other party in connection with an order or project, and not to disclose such information to third parties without prior written consent. This obligation survives termination of the business relationship for a period of 3 years.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • TedLighting’s total liability for any claim arising out of or in connection with any order shall not exceed the total purchase price paid by the buyer for the goods giving rise to the claim
  • TedLighting shall not be liable for any indirect, consequential, incidental, or special damages including loss of profit, loss of business, or loss of contracts, even if advised of the possibility of such loss
  • TedLighting shall not be liable for any loss, damage, or cost arising from delayed delivery where such delay is due to force majeure

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Force Majeure

TedLighting shall not be in breach of these Terms and shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to: acts of God, war, civil unrest, government actions, pandemic, port closures, fire, flood, power outages, or supply chain disruptions. TedLighting will notify the buyer promptly of any such event and its expected duration.

14. Compliance with Laws

Both parties agree to comply with all applicable laws and regulations governing the sale, export, import, and use of TedLighting products, including:

  • Chinese export control laws and regulations
  • Import regulations and customs laws in the buyer’s country
  • Anti-bribery and anti-corruption laws
  • Applicable sanctions and trade restriction laws

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the People’s Republic of China.

15.2 Dispute Resolution

In the event of any dispute arising from or in connection with these Terms or any order, the parties shall first attempt to resolve the dispute by good-faith negotiation within 30 days.
If the dispute cannot be resolved by negotiation, it shall be submitted to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, in accordance with its arbitration rules. The arbitration shall be conducted in English. The arbitral award shall be final and binding.
Notwithstanding the above, TedLighting reserves the right to seek injunctive or other urgent equitable relief in any competent court.

16. Anti-Corruption and Ethical Business

TedLighting is committed to ethical business conduct. We prohibit bribery, corruption, and facilitation payments in all forms. All business transactions must comply with applicable anti-bribery laws including China’s Anti-Unfair Competition Law. Any concerns regarding ethical conduct may be raised to horace@tedlighting.com.

17. Amendments to These Terms

TedLighting reserves the right to amend these Terms at any time. The current version will be published on our website at https://tedlighting.com/terms with the effective date noted. Continued use of the website or placement of orders after any amendment constitutes acceptance of the updated Terms. For existing orders, the Terms in force at the time of order confirmation apply.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with any written quotation, order confirmation, or separate agreement signed by both parties, constitute the entire agreement between TedLighting and the buyer in relation to the subject matter hereof, and supersede all prior representations, understandings, and agreements.
